Governance bodies at OVO

General Assembly (GA)

The GA is the highest governing body. It appoints the Board of Directors and the Executive Committee, approves the annual accounts and budget, and ensures transparency towards all stakeholders.

 

Board of Directors (BoD)

  • Composed of unpaid volunteers.
  • Meets 5 times a year to set policies and strategic direction.

Operational Board Committee (COB)

  • A committee within the Board of Directors that supports OVO’s day-to-day functioning.
  • Deals with operational and strategic matters that fall outside the competence of the Executive Management but do not require the full Board’s immediate involvement.
  • Has advisory authority only: decision-making and representation powers cannot legally be delegated to a committee.

Key tasks:

  • Analyze, advise, prepare and follow up on Board decisions.
  • Act as a bridge between the Executive Management and the Board.
  • Support and oversee the DB.
  • Handle contracts, fiscal matters, financial transactions and HR matters above DB thresholds.

All COB “decisions” are subject to formal approval by the Board of Directors. That approval/ratification can be given post factum (after the fact).

Management Team & Executive Management (DB)

Management Team = the core of the organizational network, led by the General Manager and team leaders.

 

Executive Management (DB) = General Manager + Team Matchmaking Manager.

 

Works according to the “four eyes” principle: all decisions are taken jointly.

 

Tasks:

  • Implement OVO’s annual program and budget.
  • Contracts and HR within daily operations.
  • Financial transactions up to set thresholds.
  • Coordinate with volunteers, partners and projects.
  • Reporting: monthly to the COB, quarterly to the Board.
